Ben Engel, a partner in the Firm, focuses on corporate and commercial law, advising for-profit and non-profit clients in a wide variety of business contexts. His experience includes purchases and sales of businesses; mergers, acquisitions, and divestitures; private placements of securities; venture capital transactions; secured transactions, restructurings and workouts; informal compositions with creditors; and resolving disputes within businesses.

Recent representative transactions include:

  • Resolution of discord within interconnected family businesses through division of ownership.
  • Resolution of longstanding dispute between client and a minority shareholder through buyout of minority shareholder on terms favorable to client.
  • Restructurings of a variety of small businesses, including professional service companies.
  • Simplification of client's ownership structure through multiple mergers.
  • Restructuring of ownership of a family-owned manufacturing company to resolve internal issues and assure ownership by the next generation.
  • Multiple acquisitions by a technology-based service company to realize economies of scale and enlarge its presence in the New England region.
  • Multimilliondollar private investment in an airport parking company in the Midwest.
  • Negotiation of favorable settlements of insurance company claims against health care practices.
  • Structuring and documentation of customer relationships for new products and business lines of manufacturing and agricultural companies.


    Mr. Engel's experience also includes the formation of corporations, partnerships, and limited liability companies; drafting governing documents; negotiation and preparation of contracts covering a range of business relationships and resolution of disputes; and corporate dissolution and winding up. He has also handled the organization and structuring of professional health care practices, including counseling on Federal anti-kickback and self-referral issues.
    Mr. Engel is the former president of Emanuel Synagogue of West Hartford and a life member of its Board of Trustees; a member of the board of Capital Classics Theatre Company; and a former member of the board of the Commission on Jewish Education of Greater Hartford. He has chaired numerous charitable capital campaigns and other fundraising events and tutored students of English for Speakers of Other Languages (ESOL) at Literacy Volunteers of Greater Hartford. Mr. Engel has also authored four plays and, prior to becoming a lawyer, was a reporter and editor for newspapers in Connecticut and Kentucky.
